2. Milestone-Based Refunds

Projects are structured in phases with clearly defined deliverables. If a project is terminated before completion, refunds are calculated based on the following criteria:

  • Pre-Development Phase: Full refund if terminated before any development work has commenced.
  • In-Progress Projects: Refund for work not yet completed, minus any non-recoverable costs incurred up to the point of termination.
  • Completed Milestones: No refund for completed and accepted milestones.

3. Non-Refundable Items

  • Third-party license fees or subscription costs incurred on behalf of the client.
  • Domain registration or hosting fees already processed.
  • Work completed and approved by the client during formal review cycles.
  • Consultation fees for project scoping and technical assessments.

4. Dispute Resolution

In the event of a dispute regarding refunds, NovaPulseTechnologies commits to resolving the matter through direct negotiation. If resolution cannot be achieved within 30 days, either party may escalate to mediation services in Pamplona, España. These terms are governed by Spanish law.

Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by NovaPulseTechnologies, located at Calle Estafeta, 1, 31001 Pamplona, España, you agree to be bound by these Terms of Service. If you do not agree with any provision of these terms, you must discontinue use of our services immediately.

2. Service Scope

NovaPulseTechnologies provides custom software development services, including but not limited to: web application development, API design and integration, cloud infrastructure setup, database architecture, mobile application development, and security auditing. All services are delivered as described in the project proposal and statement of work agreed upon by both parties.

3. Client Responsibilities

The client agrees to:

  • Provide accurate and complete project requirements and specifications.
  • Respond to review requests and feedback queries within 5 business days.
  • Designate an authorized point of contact for project communications.
  • Ensure timely provision of necessary access credentials and third-party resources.
  • Review and approve deliverables within the agreed review periods.

4. Intellectual Property

Upon full payment, all intellectual property rights for custom-developed software are transferred to the client. NovaPulseTechnologies retains ownership of pre-existing tools, libraries, and frameworks used in development. These reusable components are licensed to the client on a perpetual, non-exclusive basis for use within the delivered project.

5. Payment Terms

Payment schedules are defined in the project proposal. Standard payment structure:

  • Initial Deposit: 40% of total project cost due upon signing the agreement.
  • Milestone Payments: 30% due at project midpoint, 30% due upon final delivery.
  • Late Payment: Invoices outstanding beyond 14 days incur a 1.5% monthly late fee.

6. Limitation of Liability

NovaPulseTechnologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services. Our total liability shall not exceed the total amount paid by the client for the specific project giving rise to the claim. We are not responsible for losses resulting from force majeure events, third-party service failures, or client modifications to delivered code.

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of the project. This obligation survives the termination of the service agreement for a period of 3 years. Confidential information shall not be disclosed to third parties without prior written consent.

8. Termination

Either party may terminate the agreement with 14 days' written notice. In the event of termination, the client shall pay for all work completed up to the termination date. NovaPulseTechnologies shall deliver all completed work products upon receipt of final payment.

9. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Spain. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Pamplona, Navarra, España.

10. Amendments

NovaPulseTechnologies reserves the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting on this page. Continued use of our services following any changes constitutes acceptance of the modified terms.
